Terms & Conditions of Quotation

DURATION OF QUOTATION
This quotation shall be valid only for a period of 60 days from the date hereof at which time it shall terminate unless further extended in writing by Servometer.

TERMS
Terms applicable to any resulting purchase order are net 30 days, following which FINANCE CHARGE will be computed and charged on the basis of a single periodic (monthly) rate of 1 ¾ %, which is an ANNUAL PERCENTAGE RATE OF 21%, applied to previous balance before deducting payments and/or credits.

SHIPMENTS
Servometer shipments, by nature, are small in size and weight and are normally sent via surface transportation. Special delivery, registered mail, certified mail or other special handling may be employed when special circumstances warrant their use. Shipments are F.O.B. origin with transportation and insurance paid by the customer.

DELIVERY
Any purchase order resulting from this quotation must specify a definite shipping date for all of the material on the order, in which shipping dates shall not extend beyond 6 months from the date of the purchase order, unless mutually agreed upon by both parties, or dictated by manufacturing schedule.

DELAY
Servometer shall not be held responsible for any delay or failure to manufacture or make delivery of all or part of material ordered due to strikes or other labor disputes or labor troubles, fires, floods, droughts, accidents, insurrections, breakdowns of machinery or manufacturing plant, lack of or inability to obtain raw material, labor, power or supplies, Federal, State, County or Municipal laws, acts, rules or regulations, or any other causes, contingencies or circumstances within or without the United States not subject to the control of Servometer which prevent or hinder the manufacture or delivery of the material ordered.

CLAIMS
Any claim for defective, noncompliant or damage material or shortages in the material ordered shall be deemed waived by the customer unless made, in writing, within 90 days of the shipping date. Material which the customer deems defective, or noncompliant to its drawings, specifications or purchase order, or damaged, may be returned to Servometer within said 90 day period and if, after examination, Servometer finds said material to be defective, or noncompliant, or damaged, by Servometer, or damaged in shipment, Servometer will replace the returned material at no cost to the customer and within a time interval, after examination, equal to the shipping time quoted for the original material. If, after examination, Servometer finds that the returned material is not defective or noncompliant, it shall return said material to the customer at the customer’s expense.

QUANTITY REDUCTION
Where the material ordered is special, or more than 100 pieces of a Standard item, the customer will be responsible to pay for the entire quantity ordered if any production has proceeded before any request for a reduction in quantity is received from the customer.

CANCELLATION OR HOLD
The customer may cancel the purchase order only with the consent of Servometer – PMG, LLC in which event the customer will be responsible for the payment of a cancellation charge to be calculated based the labor performed and material used. At the request of the customer, Servometer will put a hold on any purchase order, in which event, however, the customer will be responsible for payment of an additional charge for a new production set-up, and the shipping date will be extended by an amount of time equivalent to the hold time plus the time required for the new production set-up.

WARRANTIES
SERVOMETER WARRANTS THAT THE MATERIAL WILL COMPLY WITH SERVOMETER’S DRAWINGS AND SPECIFICATIONS OR CUSTOMER’S PURCHASE ORDER AND WILL BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP. THIS WARRANTY IS EXPRESSLY MADE IN LIEU OF ANY AND ALL OTHER WARRANTIES, MERCHANTABILITY OR AS TO FITNESS OF THE MATERIAL. FOR ANY PARTICULAR PURPOSE.

LIABILITIES
ANY LIABILITY FOR ANY LOSS OR DAMAGE, EITHER DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTAL IS EXPRESSLY DISCLAIMED. THE LIABILITY OF SERVOMETER IN ALL CASES IS LIMITED TO REPLACING THE MATERIAL FOUND TO BE DEFECTIVE OR NONCOMPLIANT.

EXPORT CONTROL STATEMENT
“Precision Manufacturing Group, LLC fully complies with all U.S. export control regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). It is the Precision Manufacturing Group, LLC policy that if the Purchase Order requires Precision Manufacturing Group, LLC to export items or technical data outside of the United States, or to Foreign Persons, the customer must cooperate with Precision Manufacturing Group, LLC by supplying information which will enable Precision Manufacturing Group, LLC to determine the export classification of the item(s). If the export of the item requires licensing, the Precision Manufacturing Group, LLC delivery commitment will reflect the time necessary to secure the license from the appropriate Governmental agency. If the customer has previously secured the appropriate license, Precision Manufacturing Group, LLC requires a copy of the license so we can maintain compliance to all the terms and conditions of the license.

The term “item” includes product or hardware, technical data, software, or technology which is associated with any object subject to the U.S. Export Control regulations. Item does not just refer to the physical product itself. The Purchaser of these items is responsible to verify if these items are subject to either 22 CFR the International Traffic in Arms Regulations or 15 CFR the Export Administration Regulations. If the purchaser of these items desires to resell, divert, transfer, transship, or otherwise make available to a foreign person within the United States, or otherwise dispose of in any other country outside of the United States, either in original form or after being incorporated through an intermediate process into other items or data, the Purchaser must evaluate the items as they apply to the appropriate U.S. export control regulations, and follow all the applicable requirements of these regulations, including securing authorization for the export through a properly executed license.”
